Customer agrees to indemnify and hold harmless AquaSun Pools & Spas, Inc and all of its affiliates (officers, directors, employees, agents, representatives, information providers, licensors and licensees and affiliates {collectively, "Indemnified Parties"}) from and against any and all liability and costs (including, without limitation, attorneys' fees and costs), incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms and Conditions of Use or the foregoing representations and warranties. You will cooperate as fully as reasonably required in AquaSun Pools & Spas, Inc defense of any claim. Choice of Law; Any and all agreements entered into by customer shall be construed, interpreted and controlled by the laws of the Commonwealth of Pennsylvania, and all claims arising from use of this site shall be goverened and decided pursuant to the laws of the Commonwealth of Pennsylvania, but not including its choice of law rules. All claims disputes, causes of actions and lawsuits arising out of any agreement entered into by using this site shall be brought and adjudicated solely in the court of Common Pleas of Bucks County Pennsylvania, which court shall have exclusive jurisdiction. Both parties agree that venue shall be proper in such court and waive and agree no to raise or assert any equitable or any other defenses to any action being brought in such court related to jurisdiction or venue, and further waive any claim in the nature of "forum non vonveniens."
